VENDOR INFORMATION

This file provides information for Shareware Distributors, Disk Vendors, BBS
SYSOPs and Computer Clubs who wish to distribute this software package.

DISTRIBUTING MOVIES TO GO!

Anyone distributing MOVIES TO GO! for any kind of remuneration MUST agree
with the following terms and conditions prior to distributing it:

1. The distributor recognizes that ImagiSOFT, Inc. owns all rights
for MOVIES TO GO!, including distribution rights.

2. The distributor agrees that ImagiSOFT, Inc. can withdraw its
permission to distribute MOVIES TO GO! at any time.

3. When requested to do so in writing by ImagiSOFT, and after receiving
a new version of MOVIES TO GO! from ImagiSOFT, the distributor agrees
to begin distributing this new version within sixty days.

4. The distributor agrees to use the names "ImagiSOFT" and
"MOVIES TO GO!" in all printed product descriptions.

5. The distributor will attempt to educate the prospective buyer
about the shareware concept in its printed literature or packaging.
These materials must inform the user that if they find shareware
programs useful, they should pay the registration fee. In no event
will a distributor be allowed to state or imply that the user is
"buying" MOVIES TO GO! or that MOVIES TO GO! is in the public domain,
or "free" software.

6. The distributor recognizes that its right to distribute
MOVIES TO GO! is nonexclusive.

7. Distributors who wish to manufacture, package, vend, or distribute
MOVIES TO GO! on diskette or CD-ROM with the intent of selling it to
end users, MUST sign a written agreement with ImagiSOFT to pay a
royalty equal to the greater of .10 per copy or 2.50% of the suggested
retail price. This provision does NOT apply to any free BBS, pay BBS,
or online service such as CompuServe, Prodigy, Ziffnet, GEnie, etc.
This provision does not apply to CD-ROM manufacturers who distribute
shareware in .ZIP or any other widely accepted compressed file format
who primarily sell their CD-ROMs to BBSes.

Authorization to distribute MOVIES TO GO! is automatically granted to any
online service, free BBS, or pay BBS, who agrees with the above requirements.
Distributors who intend to sell MOVIES TO GO! should send us letter of intent,
a copy of their current catalog, and the completed form below to:

SAMPLE SHAREWARE CATALOG LISTING

MOVIES TO GO! contains information on 1,000 movies. You can search for your
favorite categories (comedies, drama, sports, family, etc.), actors,
directors, MPAA rating, key words, year, and more. Many movies have detailed
reviews including the setting, characters, possible objectionable content,
music, and box office gross. You can even search for other special
categories, such as Dog Movies, World War II, Family Relationships, Robin
Hood, Knights, Halloween, Disney Movies, Horses, etc. Has both a text and
graphics interface.

Stunning graphics interface has animated icons, 3-D buttons, and graphic
menus. For example, the actor menu is displayed on a video tape, the main
menu is a TV set, and the search menu is displayed on a movie ticket.
Graphics version requires an EGA/VGA monitor, and a 386 class computer is
recommended, but not required to run it.

Requires 640K, Hard Disk, and DOS 2.1+. Mouse is supported, but not required.

NOTE: Our company name, ImagiSOFT, Inc. and the product name, MOVIES TO GO!
MUST appear somewhere in the product description of your catalog, or in the
case of rack distributors, on the front cover of your packaging.
