LICENSE AGREEMENT


Software License
1. Grant of License. In consideration of payment of the license
fee, which is a part of the price you paid for this product, Optimal
Systems Laboratory, as Licensor, grants to you, the Licensee, a
nonexclusive right to use and display this copy of an Optimal Systems
Laboratory software program (hereinafter the "software") on an
unlimited number of computers at an unlimited number of locations.
Licensor also grants to Licensee the nonexclusive right to publish any
or all of the source code in any journal, magazine or other public or
private publication, subject to USE RESTRICTIONS below.
2. Use restrictions. As the Licensee, you may physically transfer
the software to any medium, in any number of copies you desire,
PROVIDED THAT THE COPYRIGHT NOTICES INCLUDED AS PART OF THE SOFTWARE
are included in any copies. As the Licensee, you may publish any or
all of the source code as indicated in Grant of License, above,
PROVIDED THAT THE COPYRIGHT NOTICES INCLUDED AS PART OF THE SOFTWARE
are included in the publication.
3. Transfer Restrictions. This software is licensed only to you,
the Licensee, and may not be transferred to anyone without the prior
written consent of Optimal Systems Laboratory. Any authorized
transferee of the software shall be bound by the terms and conditions
of this Agreement. In no event may you transfer, assign, rent, lease,
sell, or otherwise dispose of the Software on a temporary or permanent
basis except as expressly provided herein.

4. Miscellaneous. This Agreement is governed by the laws of the
State of New Jersey.

Disclaimer of Warranty and Limited Warranty


The software and accompanying written materials (including
instructions for use) are provided "as is" without warranty of any
kind. Further, Optimal Systems Laboratory does not warrant,
guarantee, or make any representations regarding the use, or the
results of the use, of the software or written materials in terms of
correctness, accuracy, reliability, currentness, or otherwise. The
entire risk as to the results and performance of the software is
assumed by you. If the software or written materials are defective
you, and not Optimal Systems Laboratory or its agents, or employees,
assume the entire cost of all necessary servicing, repair, or
correction.

The above are the only warranties of any kind, either express or
implied, including but not limited to the implied warranties of
merchantability and fitness for a particular purpose, that are made by
Optimal Systems Laboratory on this Optimal Systems Laboratory product.
No oral or written information or advice given by Optimal Systems
Laboratory, its agents, or employees shall create a warranty or in any
way increase the scope of this warranty, and you may not rely on any
such information or advice. This warranty gives you specific legal
rights. You may have other rights, which vary from state to state.

Neither Optimal Systems Laboratory nor anyone else who has been
involved in the creation, production, or delivery of this product








shall be liable for any direct, indirect, consequential, or incidental
damages (including damages for loss of business profits, business
interruption, loss of business information, and the like) arising out
of the use of or inability to use such product even in Optimal Systems
Laboratory has been advised of the possibility of such damages.
Because some states do not allow the exclusion or limitation of
liability for consequential or incidental damages, the above
limitation may not apply to you.

This disclaimer of Warranty and Limited Warranty is governed by the
laws of the State of New Jersey.

U.S. Government Restricted Rights


The Software and documentation are provided with Restricted Rights.
Use, duplication, or disclosure by the Government is subject to
restrictions as set forth in subdivision (b)(3)(ii) of The Rights in
Technical Data and Computer Software clause 252.227-7013.
